Terms of engagement

Acceptance

By requesting a quote, confirming a visit, or paying a deposit, you accept these terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company.

Services

We provide consulting and facilitation engagements such as plant downtime assessments, shift loss reviews, production visibility boards, and recurring floor support. Deliverables are described in the engagement letter or email confirmation. We do not provide payment processing, software licences, or hosted analytics products under these terms.

Client responsibilities

You grant reasonable site access, introduce us to relevant supervisors, and ensure health and safety induction is completed before floor work begins. You remain responsible for decisions taken on the basis of our charts and recommendations.

Intellectual property

Templates and methods remain Toolkithorizon property. Charts, boards, and written findings prepared for your plant are licensed to you for internal use. You may not resell or republish our materials without written consent.

Confidentiality

Both parties treat production volumes, stoppage data, and commercial terms as confidential unless disclosure is required by law or already public.

Liability

To the fullest extent permitted by Hong Kong law, our aggregate liability for an engagement is limited to the fees paid for that engagement. We are not liable for lost production, consequential loss, or third-party claims arising from operational decisions you make after receiving our work.

Governing law

These terms are governed by the laws of Hong Kong. Courts of Hong Kong have exclusive jurisdiction.
